TriPoint Capital Management ("TCM"), since 2011, has offered client companies a full suite of services to provide all the necessary guidance and advice to become a public company in the North America including the U.S & Canada, along with Europe and Australia. Our team members work closely with clients to accelerate corporate growth and entry into the public markets. We provide counsel and support through the entire public entry process; specifically, we assist foreign and domestic client companies to manage each step of the "going public" process and we provide ongoing corporate development and compliance support once a client company becomes a public company.

TCM's services are comprehensive, yet our fee structure is designed to provide a fair return for our services while also recognizing the significant involvement of our team's senior members. By assisting our clients with their audit, their legal and filing process with their attorneys, auditors, bankers and market makers and by leveraging our relationships with outside firms, we are able to provide a higher quality of bundled services at a considerably lower cost than hiring multiple firms to perform the same services.

Each of the firm's principals has developed, managed, operated, and worked with new businesses and rapidly growing and evolving organizations. TCM maintains relationships with a wide-range of professionals and other securities industry sources, such as investment bankers, other broker-dealers, accountants, attorneys and financial professionals and consultants. TCM works with team members & strategic partners from around the world to facilitate listings on to global stock exchanges including NASDAQ, NYSE, TSX, CSE and other market places. We ensure our clients have access to the top bankers, legal counsel and auditors to complete a successful listing.
TCM has strategic relationships with several FINRA member broker dealers. TCM will match our client's needs with the appropriate investment bank that will provide institutional and retail sources of capital in a wide variety of financing instruments including private equity financing, debt financing, private investments in public equity (PIPES), mezzanine debt financing and receivable financing.

Mark Elenowitz is a co-founder and managing director of TriPoint Capital Management. He is responsible for the overall corporate development of the firm and advising clients on structuring, financings and acquisitions. He has extensive experience in advising clients on compliance and capital markets navigation including acting as a member of the board of directors. For over 30 years he has worked with numerous public and private companies. Mark Elenowitz integrates a strong, successful entrepreneurial background with extensive financial services and capital markets experience. He has assisted numerous companies in a "soup-to-nuts" process, preparing them for life as a public company and advising them on an ongoing basis as to further rounds of financing, strategic acquisitions and a broader investor base via a listing on a higher securities exchange or market. He is an expert in capital markets investigative analysis of trading activity, short selling and market activity providing investigative services for Board of Directors, Special Committees and public companies. Mark Elenowitz has also served as an expert witness in FINRA arbitrations. Mark Elenowitz has developed ongoing relationships with other investment banking firms, market makers, and analysts. He holds the Series 24, 62, 63, 79, 82 and 99 licenses and is also Managing Director of Digital Offering, LLC, a FINRA member firm. Mark Elenowitz is the recipient of several entrepreneurial awards and has been profiled in BusinessWeek, Inc Magazine, CNBC and Bloomberg as well as several other publications. He is a graduate of the University of Maryland School of Business and Management, with a Bachelor of Science in Finance.
Michael Boswell is a co-founder and member of TriPoint Capital Management. Michael Boswell provides high-level financial services to start-up businesses and small to mid-sized companies, including holding executive and CFO positions with client companies. With TriPoint he has assisted numerous companies by providing high level advice regarding corporate finance, corporate structure, corporate governance, mergers and acquisitions, SOX 404 compliance, implications of various SEC rules and FASB Emerging Issues Task Forces issues as they relate to private placements, SEC reporting and disclosure requirements, employee option programs and the overall reverse merger process. He is currently CFO and a Director of Mission Solutions Group, Inc. - a communications and cybersecurity business based in Charleston, SC focused on providing secure, end-to-end communications solutions and services to federal and commercial customers. Throughout his career, Mike’s experience includes executive and CFO positions with both public and private companies. Prior to joining the private sector, Mike spent 8 years as a senior analyst and senior engineer for various branches of the United States Government. He is also Chief Compliance Officer of Digital Offering, a FINRA member firm. Michael Boswell earned an M.B.A. from Johns Hopkins University and a B.S. degree in Mechanical Engineering from University of Maryland. He holds the Series 24, 62, 63, 79, 82 and 99 licenses.
